Biography

She has been part of matters wherein there has been aplenty of advisory work to the Resolution Professionals due to the non-cooperation on part of various stakeholders during the CIRP period, treatment of claims of creditors etc. She was a part of the team which represented a Resolution Professional of a steel industry and succeeded in obtaining the approval of a resolution plan.

She has also assisted in some negotiations emanating out of IBC, 2016 cases at various NCLT’s leading to amicable settlements between parties. She has, as a part of the AMA Team, represented various stakeholders in the realm of IBC including but not limited to creditors, both financial and operational; corporate debtors, resolution applicants, promoters and has successfully admitted certain corporate entities into CIRP and also defended some from the same. She has also been a part of the team which has handled matters at the Hon’ble Madras High Court, NCLAT, NCLT, DRT etc.

Poornima also assists in providing advisory opinions on a plethora of legal quandaries relating to various civil and corporate laws. She also does drafting and review of various commercial contracts, etc.

CASES HANDLED

  • Has assisted in a complex corporate insolvency matter representing a resolution professional in the steel sector on various issues beginning with non-cooperation from various stakeholders including ex-management, treatment of claims, advisory on resolution plan, challenge to resolution plan at NCLT and NCLAT.
  • Has worked on legal issues surrounding acceptance of claim based on corporate guarantee and accordingly revision of committee of creditors in a high-stakes matter representing a financial institution.
  • Advised a huge company in the Indian cotton industry on complex issues pertaining to Letters of Credit, the impact of force majeure on the business transactions with foreign sellers and on issues pertaining to international commercial arbitration.
  • Currently advising the majority shareholders in a corporate entity in the power sector in negotiating with foreign minority shareholders in issues regarding the funding and management issues in the Company.
  • Worked on a case involving a leading financial institution with respect to presence in COC on the basis of corporate guarantee and legal issues surrounding the same.
  • Advised an established builder/developer, having more than 30 years’ experience in the said field, on issues pertaining to force majeure and also assisted in the resultant negotiations with the parties which led to amicable solutions.
  • Currently advising and also representing an Insolvency Professional of a company in the healthcare sector in issues pertaining to the treatment of claims and other aspects of the corporate insolvency resolution process.
  • Represented a Financial Creditor on behalf of the Debenture Holders and obtained an order against the Resolution Professional and helped to have the claim pertaining to the amounts claimed under the category of ‘Maturity Premium’ to be accepted.
  • Representing and advising on behalf of landlords against the Resolution Professional of a furniture company in non-cooperation applications filed against them.
  • Represented a leading Asset Reconstruction Company before the Hon’ble Debt Recovery Tribunal and successfully defended the action of enforcement of security provided by the Borrower.
